Our Privacy Statement sets out our and your rights and obligations in relation to personal information you provide when using any Toitū website (“Website”), any other software application, tool or platform operated and made available by Toitū, (together the “Online Services”) or any other products or services we provide (which shall, together with the Online Services, be the “Toitū Services”) or when applying for employment or other opportunities with us. Personal information is information about an identifiable individual (i.e., a natural person, not a company).

Software Terms & Conditions


Toitū Envirocare has developed certain software applications, tools, and platforms for the purposes of recording and managing greenhouse gas emissions, which we make available:


  • (a) via our website (https://www.toitu.co.nz) with no cost or user account (the “Free Software”); or
  • (b) as part of our services to customers upon written agreement requires a user account and which may include payment of a fee (the “Account Software”),

Online Services Terms & Conditions

These Terms and Conditions form a legal agreement between Enviro-Mark Solutions Limited trading as Toitū Envirocare (“Toitū”, “we”, “us” or “our”) and the person (“you” and “your”) that accesses and uses the Online Services. In using any of the Online Services you will be deemed to have agreed to be bound by these Terms and Conditions.

Master Terms & Conditions

This page provides the master Terms & Conditions governing Toitū’s provision of services to all our clients. Members of the certification programmes for Buildings, the NZ Public Sector, audit and/or other, should continue to refer to the Terms & Conditions in your signed contract. For education services, please find at the bottom of this page.


Effective September 2024, the Terms & Conditions will apply to all Toitū certification programme members: Toitū carbonreduce, Toitū net carbonzero, Toitū climate positive, Toitū enviromark; as well as Toitū Measure or verification members. This version supersedes the previous version for all existing and future contracts.


The changes to this version released July 2024 are designed to align with best practice, improve clarity, and apply to evolving client needs.


KEY CHANGES ARE:


  • More Flexible Payment Terms: We have introduced more frequent and flexible payment terms, including a new subscription model.
  • Audit Billing Changes: Audit fees will now be invoiced in two parts, with an initial invoice for 50% of the estimated Audit Fees on your Scheduled Audit Date, followed by a final invoice upon completion of the audit and certification. This adjustment ensures transparency and financial predictability.
  • Privacy and Data Use: We have updated the Privacy Statement to detail the purposes for which we collect and use your personal information and data, along with your data rights. This revision ensures compliance with current privacy and data protection legislation and outlines our obligations and your rights concerning personal information.
  • Software Terms of Use: Our Software Terms have been specified in more detail and consolidated into a separate document that covers how you access and use any software provide by Toitū Envirocare.
  • Enhanced Service Usage Terms: We have clarified the acceptable usage of our products and services to ensure we comply with the Fair Trading Act unfair contract terms regime, including what we expect from you when engaging with our services, the permissions you grant us, and the responsibilities for scheduling, postponing, or cancelling audits or services.
  • Public Statements: Simplified the terms for publicising certification status and clarified conditions for publishing names on our website if certification is suspended or withdrawn.
  • Complaints and Appeals: Streamlined the process for handling complaints and appeals, ensuring adherence to our updated policy.
  • Changes to programmes, suspension, withdrawal and termination details: Clarified conditions for modifying, suspending, or discontinuing programmes, and emphasised the process for suspension and withdrawal, and the consequences of expiry, withdrawal, suspension, or termination of certification.
  • Definitions and interpretation: Updates and changes to the terms defined within to make it easier to understand and comprehend the requirements.
